We are offering 18,000,000 depositary shares ("Depositary Shares") each representing a 1/1000th ownership interest in a share of 6.625% Fixed-to-Floating Rate Non-Cumulative Perpetual Preferred Stock, Series I, no par value, $25,000 liquidation preference per share (equivalent to $25 per Depositary Share), or "Series I Preferred Stock," of Fifth Third Bancorp.

Use of proceeds: Net proceeds will be used for general corporate purposes, which may include repurchases of common stock, as part of the company's 2013 CCAR capital plan.
