We are offering 3,000,000 shares of our % Series E cumulative convertible preferred shares of beneficial interest, par value $0.01 per share, or the Series E preferred shares, in this offering.

Use of proceeds: Net proceeds, together with proceeds from the concurrent common share offering, are expected to be used to finance the acquisition of JERIT Fund Member's 50% interest in CS Fund I and/or to repay borrowings under the unsecured revolving credit facility.
